Terms and Conditions – StudyTale Platform Users

Welcome to StudyTale! Before using our platform, please take a moment to review these Terms and Conditions (the “Terms”) along with our Privacy Policy, accessible at [Insert Link] (the “Privacy Policy”). These Terms govern your use of the StudyTale Platform, which includes our website mystudytale.com and any related services provided by StudyTale.

By accessing the StudyTale Platform, clicking “Accept,” or signing an agreement that references these Terms, you acknowledge that you are entering into a legal agreement with StudyTale (“we,” “us,” “our”), and you agree to be bound by these Terms, as well as any applicable agreements such as a Recruitment Partner or Counsellor Agreement, StudyTale Partner Agreement, or any other contractual arrangement between you and us, whether written or verbal. If you do not agree to these Terms or any referenced agreements, you must discontinue your use of the StudyTale Platform.

In case of any conflict between these Terms and any Recruitment Partner/Counsellor Agreement or StudyTale Partner Agreement, the terms of those agreements will prevail. If there is a conflict between these Terms and any other agreement you have with us, these Terms will take precedence unless stated otherwise in writing.

By agreeing to these Terms, you confirm that you have reached the legal age of majority in your jurisdiction, have the capacity to enter into a binding contract, and that all information you provide to us is accurate, complete, and up to date. If you are using the StudyTale Platform on behalf of an entity, school, or organization, you affirm that you have the authority to bind them to these Terms.

Definitions

For the purposes of these Terms:

Access Information” refers to login credentials and other access details.

Agreement” refers to these Terms and any associated contracts referenced herein.

Applicable Law” means any relevant laws, regulations, rules, or legal requirements applicable to the use of the StudyTale Platform.

Application” means a formal submission by a Student to a StudyTale Partner or other educational institution, including necessary supporting information.

StudyTale Parties” refers to StudyTale and its affiliated entities.

StudyTale Partner” refers to any institution, organization, or individual that has an agreement with StudyTale to use or promote the platform.

StudyTale Partner Agreement” refers to the contract between StudyTale and its partners outlining the terms of collaboration.

StudyTale Platform” includes the StudyTale website and related services facilitating student recruitment and international study applications.

Claim” refers to any legal demand, liability, or dispute.

Confidential Information” includes proprietary details about StudyTale, its platform, services, and business operations.

Content” encompasses all materials, media, and information provided through the StudyTale Platform, including text, graphics, videos, and trademarks.

Counsellor” refers to an independent advisor assisting students with study applications and related processes.

De-identified Data” refers to data that has been stripped of personal identifiers.

Educational Records” means records related to a Student’s academic background.

Feedback” refers to user suggestions and input regarding the StudyTale Platform.

Governmental or Regulatory Authority” means any official or legal body governing the activities related to this Agreement.

Party” refers to either StudyTale or the user, while “Parties” refers to both collectively.

Personal Information” refers to data that can identify an individual.

Privacy Policy” refers to StudyTale’ privacy practices outlined in a separate document.

Program” refers to academic courses, language programs, or similar offerings available through StudyTale Partners.

Recruitment Partner” refers to a business professional assisting students with applications and study abroad logistics.

Recruitment Partner/Counsellor Agreement” is the contract between StudyTale and a Recruitment Partner or Counsellor governing their services.

School” refers to any educational institution participating in StudyTale.

Services” include all tools, platforms, and features provided by StudyTale to facilitate student recruitment and applications.

Student” refers to an individual using the StudyTale Platform for research or application purposes, directly or through a Recruitment Partner or Counsellor.

Submission” refers to content provided by users through the StudyTale Platform.

Terms” refers to these Terms and Conditions.

Third-Party Provider” refers to entities contracted by educational institutions to offer certain services.

Third-Party Content” refers to materials provided by external sources.

User” refers to any person or entity utilizing the StudyTale Platform.

You” or “Your” refers to the individual or entity accessing the StudyTale Platform.


Application of These Terms

These Terms govern your use of the StudyTale Platform and services. Subject to compliance with these Terms, we will strive to make our platform accessible in accordance with any published guidelines.

Certain sections apply specifically to different user types, such as Section 21 for Students, Section 22 for Recruitment Partners or Counsellors, and Section 23 for StudyTale Partners.


Modifications to These Terms and the StudyTale Platform

We reserve the right to update these Terms at any time by posting revisions on the StudyTale Platform. You are responsible for staying informed about such updates, and continued use of the platform indicates acceptance of the changes. We may also modify or discontinue parts of the StudyTale Platform without prior notice, including for maintenance, security, or compliance reasons.


Registration and Account Information

To use the StudyTale platform, you may be required to create an account, receive an access key, or be granted authorization under a mutually agreed-upon arrangement. You must ensure that all information provided during registration is accurate, up-to-date, and complete, updating it as necessary. StudyTale reserves the right to suspend or terminate your account or access if we determine that your information is inaccurate, outdated, or incomplete. We also retain full discretion to accept or deny registrations, access requests, or authorizations and may terminate accounts for any reason. You are responsible for safeguarding your login credentials, account details, and access key (“Access Information”), and StudyTale is not liable for any unauthorized actions taken using your Access Information.


License to Use the StudyTale Platform

Subject to compliance with this Agreement and any relevant content restrictions, StudyTale grants you a personal, non-exclusive, revocable, and non-transferable license to access the platform solely for utilizing its services and content.


Your Data

By accessing or using the StudyTale platform or services, you acknowledge that your data may be collected for various purposes and will be processed in accordance with the StudyTale Privacy Policy.

StudyTale reserves the right to disclose any personal information as required to comply with applicable laws, legal processes, or government and regulatory requirements.

Information Collection

Your data may be collected through different means depending on how you interact with the StudyTale platform and services. Whenever StudyTale requests, uses, discloses, stores, or deletes your personal information, we will provide an explanation of why it is needed and obtain your consent where required. Details on data collection purposes are outlined in this Agreement and the StudyTale Privacy Policy.

If StudyTale collects information about you from third parties, we rely on those third parties to inform you about how your data will be used and to obtain necessary consent before sharing it with StudyTale.

Specific Data Use Cases

    • Visitors: With consent, StudyTale may collect cookies and metadata for analytics, tracking, and account management.

    • Students: Additional personal information may be required to process applications, including name, contact details, citizenship, legal status, educational background, financial information, and visa-related details.

    • Recruitment Partners, Schools, and StudyTale Partners: Additional personal data may be required for research, analytics, and account management.

Maintaining Data Accuracy

You must provide true, accurate, current, and complete personal information when using the StudyTale platform and update it as needed to ensure the following:

    • Processing of student applications to StudyTale partners and institutions.

    • Management of students by recruitment partners.

    • Handling of student applications by partner institutions.

If a payment is required, you must provide accurate and up-to-date payment details as specified by StudyTale or our payment processor.

Data Ownership

You retain ownership of your personal information. You may request updates, access, or deletion of your data per the StudyTale Privacy Policy.

By using the StudyTale platform or services, you acknowledge that your data may be reviewed by StudyTale staff, partners, or third parties. In some cases, with your consent where required, data may be shared with visa agencies, language testing organizations, professional bodies, service providers, and regulatory authorities.

Data Storage

Information collected by StudyTale may be stored on servers in jurisdictions outside your home country. By using our platform and services, you agree that your data may be subject to local laws governing data storage and third-party hosting services.


De-Identified Data

StudyTale may use or share de-identified data—information stripped of personally identifiable details—for business purposes such as platform improvements, analytics, and marketing. StudyTale holds all intellectual property rights to outputs derived from such data.


Your Representations and Warranties

By using the StudyTale platform, you represent and warrant that:

    • Your account access is limited to yourself or an authorized user.

    • You will use the platform in accordance with this Agreement and applicable laws.

    • You will respect intellectual property laws and not infringe upon third-party rights.

    • Your data is accurate and up-to-date, and you will promptly update any changes.

    • You are solely responsible for all activities on your account.

    • You will not use the platform for unauthorized commercial purposes.

    • You have the legal right and authority to enter into this Agreement and use the platform.

    • You will not use the platform to commit illegal or fraudulent activities.

    • You will not interfere with security measures or compromise platform integrity.

    • You will comply with all agreements between you and third-party service providers relevant to your use of the StudyTale platform.

StudyTale reserves the right to investigate and take action in cases of suspected violations of this Agreement or applicable laws.


Restrictions and Limitations on Your Use of the StudyTale Platform

Usage Policies

The StudyTale Platform is subject to usage policies provided by us from time to time, including those communicated electronically or posted on the platform. These policies may outline limitations on data storage, software, and equipment requirements. You are solely responsible for complying with such policies.

Equipment

You are responsible for selecting, implementing, installing, maintaining, and ensuring the performance of any equipment, software, and services required to use the StudyTale Platform, except for our computer systems and networks. This includes selecting an appropriate Internet Service Provider.

Data Integrity and Backup

You acknowledge that we do not guarantee data integrity, and it is solely your responsibility to back up any data used in conjunction with the StudyTale Platform.

Not for Time-Sensitive Applications

The StudyTale Platform is not designed or licensed for use in inherently dangerous, time-sensitive, or mission-critical applications.

Restrictions on Your Use of the StudyTale Platform

You agree not to, and will not authorize, permit, or assist others to:

    • Copy, modify, enhance, alter, reverse engineer, disassemble, decrypt, or translate any part of the StudyTale Platform.

    • Distribute, sublicense, lease, rent, or transfer access to the platform to third parties.

    • Remove, deface, or obscure proprietary rights notices.

    • Disable, impair, or interfere with our servers or networks.

    • Attempt unauthorized access to any component of the platform.

    • Share or transfer access credentials, except within authorized organizational use.

    • Use the platform to develop a competing product or service.

    • Frame, mirror, or incorporate any part of the platform.

    • Attempt to hack or defeat security measures.

    • Collect user data through unauthorized means.

    • Upload malicious software or unauthorized content.

    • Engage in activities that violate laws, including fraud, intellectual property infringement, or discrimination.

    • Use bots, spiders, or data mining tools.

    • Overload platform resources.

    • Modify, alter, or delete any platform content or features.

    • Use the platform to commit crimes or illegal activities.

    • Attempt to bypass security measures.


Right to Edit and Remove Your Data; Suspension or Termination; Investigations

Right to Edit and Remove Your Data

We reserve the right to review, edit, or remove any data stored on our servers that we determine, at our discretion, to be unlawful, obscene, abusive, or objectionable.

Suspension or Termination

We may impose limits or terminate your access to the StudyTale Platform without liability. We will provide advance notice where feasible but are not obligated to do so. We may revoke access due to abuse, fraudulent use, security threats, or breach of this Agreement. Our remedies are not limited to termination, and we may take other legal actions as necessary.

Investigations

We reserve the right to investigate suspected violations of this Agreement. You agree to cooperate with us and regulatory authorities in any such investigations.


Your Responsibilities

When using the StudyTale Platform, you agree to:

    • Promptly notify us of any unauthorized activity or security breaches.

    • Take reasonable steps to prevent unauthorized access.

    • Comply with all applicable laws and regulations.

    • Provide feedback to help improve the platform.


Submissions Regarding the StudyTale Platform

Any feedback, suggestions, or bug reports submitted to us are considered non-confidential. We may use such feedback to improve the StudyTale Platform without compensation.


Confidential Information

You must keep all proprietary and confidential information obtained through the StudyTale Platform secure and only disclose it as required by law. Confidentiality obligations remain in effect even after termination of this Agreement.


Intellectual Property

The StudyTale Platform and its content are owned by us or our licensors. All rights not explicitly granted to you are reserved. You may not copy, modify, distribute, or create derivative works based on the platform without explicit authorization.


Term and Termination

This Agreement remains in effect from the time you accept it or first use the StudyTale Platform. We may terminate this Agreement at any time by providing notice to you.


Effect of Termination

Upon termination, you must stop using the StudyTale Platform. Any accrued obligations or liabilities prior to termination remain enforceable. Provisions intended to survive termination, such as confidentiality and intellectual property rights, will continue to apply.


Service Providers

Although we have made reasonable efforts to verify that our agreements with our service providers are reasonably protective of your data, you acknowledge that we have no liability for any acts or omissions of third parties in relation to such servers and the data stored on them. You therefore hereby release us from all liability for any governmental or third-party action taken in such jurisdictions with respect to such information and data or the servers on which your data resides, and you acknowledge that you retain sole responsibility to back up and retain copies of such information and data.


Unauthorized Use of Access Information

We are not responsible or liable in any way for any use of the StudyTale Platform (authorized or unauthorized) by any third party accessing the StudyTale Platform using your Access Information, and you accept all responsibility for such use of the StudyTale Platform and any consequences resulting from such use of the StudyTale Platform.


Use for Time-Sensitive Matters

You agree that we will not be liable for any claims or damages arising from such use if you use the StudyTale Platform for a time-sensitive matter.


Availability of the StudyTale Platform

WE WILL HAVE NO LIABILITY WHATSOEVER TO YOU OR ANY PARTY CLAIMING BY OR THROUGH YOU FOR THE TIMELINESS OR CONTINUED AVAILABILITY OF THE StudyTale PLATFORM.


Applicable Law

Some jurisdictions do not allow the exclusion of certain warranties or liability, so any limitations or exclusions provided in the Agreement may not apply to you.


Viruses

The downloading and viewing of Content is done at your own risk. We cannot and do not guarantee or warrant that the StudyTale Platform or the Content are compatible with your computer system or that the StudyTale Platform, or any links from the StudyTale Platform or the Content, will be free of viruses, worms, Trojan horses, disabling devices, or other code that manifests contaminating or destructive properties. You are responsible for implementing safeguards to protect the security and integrity of your computer system, and you are responsible for the entire cost of any service, repairs, or connections of and to your computer system that may be necessary as a result of your use of the StudyTale Platform.


Communications Not Confidential or Secure

We do not guarantee the confidentiality of any communications made by you through the StudyTale Platform, over the Internet, or over the telephone. Although we generally adhere to accepted industry practices in securing the transmission of data to, from, and through the StudyTale Platform, you understand, agree, and acknowledge that we cannot and do not guarantee the security of data transmitted over the Internet or public networks in connection with your use of the StudyTale Platform. 


Force Majeure

Neither Party will be liable for delays caused by any event beyond its reasonable control, including acts of God, pandemic-related delays, and/or outcomes. However, non-payment of amounts due under this Agreement will not be excused by this provision.


Survival

Rights and obligations that have accrued or arisen under these Terms and Conditions will survive the expiration or termination of these Terms and Conditions without prejudice. All provisions of these Terms and Conditions which by their nature should survive in order to give effect to the Terms and Conditions, shall survive termination or expiration, including ownership, confidentiality covenants, warranties, indemnities, and limitations of liability.


Assignment

You may not assign these Terms and Conditions to any third party without our prior written consent. We may assign these Terms and Conditions or any rights under these Terms and Conditions to any third party without your consent. Any assignment in violation of this Section will be void. These Terms and Conditions will be binding upon permitted assignees. These Terms and Conditions will inure to the benefit of and be binding upon the parties, their permitted successors, and permitted assignees.


Notices

Any notices, reports, or other communications required or permitted to be given under this Agreement will be in writing, including email, and will be sufficient if delivered by hand or sent by registered mail, courier, or email addressed to you or StudyTale at the respective addresses as advised in writing. Any such notices, reports, or other communications will be deemed to have been received by the Party to whom they were addressed: (i) upon delivery by hand, (ii) five business days after being sent by registered mail, (iii) upon delivery by courier, as evidenced by the courier receipt, or (iv) if sent by email, upon receipt by the sender of a delivery receipt confirmation.


Non-Waiver

No waiver by either Party of any default, breach, omission, or non-compliance of the other Party under these Terms and Conditions will be effective unless in writing and signed by the waiving Party. Our non-enforcement of any of these Terms and Conditions or under any applicable law shall not constitute a waiver of any enforcement rights of the same or different nature at any time in the future.


Severability

If any one or more of the provisions of this Agreement is held to be invalid, illegal, or unenforceable in any respect, such provision will be severable from this Agreement, and this Agreement will be construed as if such provision had never been contained herein.


Governing Law

These Terms and Conditions will be governed by the laws of the jurisdiction in which StudyTale operates, without giving effect to any choice-of-law rules that may require the application of the laws of another jurisdiction. All disputes arising out of or in connection with these Terms and Conditions shall be resolved exclusively in the jurisdiction and venue of the courts in the operating region of StudyTale.


Entire Agreement/Modification

This Agreement constitutes the entire agreement between the Parties and supersedes all previous agreements and understandings relating to the subject matter hereof, except where explicitly stated otherwise in a separate agreement with StudyTale.


Electronic Agreement

You acknowledge and agree that by clicking on the “I AGREE” button (or similar buttons or links as may be designated by us to show your acceptance of this Agreement and/or your agreement to use the StudyTale platform), you are entering into a legally binding contract. You hereby agree to the use of electronic communication in order to enter into contracts, place orders, and create other records, as well as the electronic delivery of notices, policies, and records of transactions initiated or completed through the StudyTale platform. Furthermore, you hereby waive any rights or requirements under any applicable laws in any jurisdiction which require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent permitted under applicable law. A printed version of this Agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.


English Language

It is the express will of the Parties that this Agreement and all related documents have been drawn up in English. Any translations provided are for convenience only and shall not be legally binding.


Disclaimers

DISCLAIMER OF IMPLIED WARRANTIES

THE StudyTale PLATFORM IS MADE AVAILABLE ON AN “AS IS”, “WHERE IS”, AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT ANY WARRANTIES, REPRESENTATIONS OR CONDITIONS OF ANY KIND. WE DISCLAIM ALL EXPRESS, IMPLIED, COLLATERAL OR STATUTORY WARRANTIES, REPRESENTATIONS OR CONDITIONS, WHETHER WRITTEN OR ORAL, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NONINFRINGEMENT, SECURITY, RELIABILITY, COMPLETENESS, QUIET ENJOYMENT, ACCURACY, CURRENCY, TIMELINESS, QUALITY, INTEGRATION OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE OFFERING WILL OPERATE WITHOUT INTERRUPTION OR BE ERROR-FREE. WE DO NOT REPRESENT ANY LIKELIHOOD OF SUCCESS OF ANY APPLICATION AND/OR OUTCOME AS A RESULT OF USE OF THE StudyTale PLATFORM.

YOUR RELIANCE ON CONTENT

WE HAVE NO SPECIAL RELATIONSHIP WITH OR FIDUCIARY DUTY TO YOU, AND YOU ACKNOWLEDGE THAT WE HAVE NO CONTROL OVER, AND NO DUTY TO TAKE ANY ACTION REGARDING ANY ACTS OR OMISSIONS TAKEN BY YOU OR ANY OTHER USER OF THE StudyTale PLATFORM, INCLUDING HOW YOU OR ANY OTHER USER MAY INTERPRET OR USE CONTENT ACCESSED OR DEVELOPED THROUGH THE StudyTale PLATFORM, OR WHAT ACTIONS YOU MAY TAKE AS A RESULT OF HAVING BEEN EXPOSED TO CONTENT OBTAINED THROUGH THE StudyTale PLATFORM.

YOU ALSO ACKNOWLEDGE AND AGREE THAT THE StudyTale PLATFORM CONTAINS INFORMATION, DATA, DOCUMENTS, PAGES, IMAGES, LINKS, CONTENT, AND OTHER MATERIALS MADE AVAILABLE BY THIRD PARTIES (SUCH CONTENT, “THIRD-PARTY CONTENT”). WE ARE NOT RESPONSIBLE FOR SUCH THIRD-PARTY CONTENT. YOU AGREE THAT YOU ARE RESPONSIBLE FOR EXERCISING CARE AND DILIGENCE IN REVIEWING AND RELYING ON SUCH THIRD-PARTY CONTENT.

THE StudyTale PLATFORM MAY PROVIDE LINKS TO THIRD-PARTY WEBSITES, INCLUDING, WITHOUT LIMITATION, THOSE OF EDUCATIONAL INSTITUTIONS OR RECRUITMENT PARTNERS. THESE LINKS ARE PROVIDED SOLELY FOR YOUR CONVENIENCE AND FOR THE CONVENIENCE OF OTHER USERS OF THE StudyTale PLATFORM. WE DO NOT ENDORSE THE INFORMATION, PRODUCTS, OR SERVICES DESCRIBED ON THOSE WEBSITES OR GUARANTEE THEIR QUALITY, ACCURACY, RELIABILITY, COMPLETENESS, CURRENCY, TIMELINESS, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR ANY PURPOSE. THE CONTENT IN ANY LINKED WEBSITE IS NOT UNDER OUR CONTROL AND DOES NOT FORM PART OF THE StudyTale PLATFORM, AND IF YOU CHOOSE TO ACCESS ANY SUCH WEBSITE, YOU DO SO ENTIRELY AT YOUR OWN RISK.

WE ASSUME NO RESPONSIBILITY FOR ANY ERRORS, OMISSIONS, INACCURACIES, EFFECTIVENESS, STANDARDS COMPLIANCE, COPYRIGHT COMPLIANCE, LEGALITY, DECENCY, OR ANY OTHER ASPECT OF THE CONTENT PROVIDED THROUGH THE StudyTale PLATFORM.

UNDER NO CIRCUMSTANCES WILL WE BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON CONTENT OBTAINED THROUGH USE OF THE StudyTale PLATFORM, INCLUDING ANY THIRD-PARTY LINKED SITE (INCLUDING ANY OPINIONS, SUGGESTIONS, STATEMENTS, OR ADVICE).

IT IS YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS, AND USEFULNESS OF ANY CONTENT PROVIDED, AND USE OF THE StudyTale PLATFORM IS SOLELY AT YOUR OWN RISK.

WE WILL HAVE NO LIABILITY WHATSOEVER RESPECTING ANY CLAIM BY YOU OR ANY THIRD PARTY WHOSE CONTENT IS COLLECTED IN YOUR USE OF THE StudyTale PLATFORM, WHETHER RELATED TO PRIVACY OR OTHERWISE, IN RELATION TO OUR USE OF YOUR DATA TO PROVIDE THE StudyTale PLATFORM.
